Confidential Disclosure Agreement

A Confidential Disclosure Agreement (CDA) is a legally-binding agreement executed between parties (e.g., a Discloser Party and a Recipient Party) permitting an exchange of information that is confidential to one or both parties.

The CDA should be presented to the recipient party for purposes of receiving the recipient’s dated signature prior to allowing the recipient to review and examine your invention—including all information associated therewith; e.g., written description, sketches, drawings, images, and prototype(s).

The term, “Patent Pending” may be used only if a patent application (i.e., provisional, utility, or design) has been filed with the United States Patent and Trademark Office (USPTO) and is pending (i.e., the application has not been issued as a patent or become abandoned).

​

The terms, “patent not applied for” refers to an invention for which a patent application HAS NOT BEEN FILED.  For example, neither a provisional, utility, nor design patent application describing, or describing and claiming the invention has been filed with the USPTO.
